THIS SOCIAL MEMBERSHIP AGREEMENT is made by and between ISLAND CLUB AT NORTH CAPTIVA (the “Club”) and the social member (the “Social Club Member”).

WHEREAS, the Club is the Developer and Owner of the Island Club at North Captiva;

WHEREAS, the Social Club Member is desirous of becoming a member in the Club entitling the Social Club Member to use the Club;

WHEREAS, the Social Club Member does not have a home or resides on North Captiva;

WHEREAS, the Social Club Member hereby represents that he / she meets all of the criteria for membership as provided for herein and will observe and conform to all of the rules and regulations of the Club.

The parties do agree as follows:

The total purchase price (“Purchase Price”) for the social membership is $1,500.00 which is due and payable upon the execution of this agreement unless otherwise stipulated in this agreement.
Automatic Dues Billing (“Annual Dues”). The Annual Dues for a Social Club Member is $1,800 per year which will be billed $150 per month for the initial twelve-month period. The Island Club reserves the right to notify you in advance prior to the beginning of the 12-month renewal period of any fee increases. The Island Club will automatically charge your credit card on the 1st of each month unless you terminate or cancel your membership at least 15 days before the 1st of the following month. The Social Club Member will not pay dues for the monthly they pay the Purchase Price.
In consideration of the payment of the Purchase Price for the social membership, the Club hereby conveys social membership to the Social Club Member.
All the Club’s facilities and equipment shall be owned, operated and maintained by the Club which shall also establish from time to time the rules and regulations regarding their use and enjoyment. The Club management welcomes suggestions ideas from the membership for the improvement of the Club and its operations, and the Club shall from time-to-time poll the membership concerning its operations for the purpose of maintaining a harmonious relationship with its membership.
A social membership in the Club is limited to persons not owning a completed dwelling unit or a home site on North Captiva Island. The privileges granted by this membership shall be limited to use by the Social Club Member, the Member’s immediate family and the Member’s guests accompanied by the Member. The membership applies only to the Social Club Member and is not transferrable.
The Social Club Member agrees to indemnify the Club for any and all damages to the club or its facilities or equipment caused by the Social Club Member or the Social Club Member’s family and guests during the term of this Agreement, including all claims, damages, costs and expenses including reasonable attorney’s fees. The term of this Agreement shall be for so long as the Member remains in good standing and for so long as the Club is owned or is under the control of the corporation and remains in business.
Any Social Club Member that does not pay its dues within thirty (30) days after the due date shall be deemed to be delinquent. The Club acting through its Manager shall notify the delinquent member by email, to the last email address provided by the Social Club Member that all rights to use the Club’s facilities are suspended; if the full payment is not paid within 30 days after the date of the notice that the membership may be terminated without further notice and without releasing the Social Club Member from his existing indebtedness to the Club. The Social Club Member agrees that acceptance of a partial payment for dues shall not preclude the Club from terminating the membership if full payment is not made within the time specified above. In the event The Island Club cannot charge your account, we reserve the right to terminate your access to The Island Club and your membership if payment is not collected within 60 days.
Proper Behavior: As a Social Club Member of the Club, you agree to always behave in a responsible and respectful manner while on club premises. This includes but is not limited to refraining from using profanity, engaging in disruptive behavior, and respecting the property of the club and its members.
The Social Club Member agrees and understands that the Club expressly reserves the right to adopt, modify, amend, and rescind the rules and regulations from time to time pertaining to the operation and maintenance of the Club and its facilities and the Social Club Member agrees to be bound thereby.
